FURTHER DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcements of China U-Ton Holdings Limited (the "Company") dated 26 November 2017, 15 December 2017, 27 December 2017 and 10 January 2018 in relation to, among other things, the discloseable and connected transaction in relation to disposal of subsidiary, and the continuing connected transactions in relation to the financial assistance provided to connected persons (the "Relevant Announcements"). Unless otherwise defined in this announcement, capitalised terms used herein shall have the same meanings as those defined in the Relevant Announcements.

As disclosed in the Relevant Announcements, the Circular containing, among other things, further information on the Proposed Disposal, the Loan Agreement, the Share Charge and the Personal Guarantee, the notice of the EGM, the IFA Letter and a letter from the Independent Board Committee, is expected to be despatched to the Shareholders on or before 24 January 2018.

As additional time is required to prepare and finalise the contents of the Circular and the IFA Letter, the dispatch date of the Circular will be further postponed to no later than 8 February 2018.
