(Stock Code: 1633) DISPOSAL OF EXISTING SHARES BY SUBSTANTIAL SHAREHOLDER

This announcement is made by Magic Holdings International Limited (the "Company") pursuant to Rule 13.09 of the Rules Governing the Listing of Securities of The Stock Exchange of Hong Kong Limited.
The board of directors (the "Board") of the Company announces that it is aware, pursuant to the announcement of Hua Han Bio-Pharmaceutical Holdings Limited ("Hua Han") on
19 January 2012, that Hua Han sold a total of 150,284,000 ordinary shares of the Company
("Shares") to Baring Private Equity Asia V Holding (1) Limited, representing approximately
15.000% of the existing issued share capital of the Company, at a price of HK$3.000 per Share, which in aggregate, was at a cash consideration of approximately HK$450,852,000 (the "Disposal"). Immediately after completion of the Disposal, Hua Han will be interested in approximately 9.998% (less than 10.00%) of the total issued share capital of the Company and will cease to be a substantial shareholder of the Company.
The Disposal will be completed not later than three trading days after the trade date on 19
January 2012.

The Board does not expect the Disposal to have any significant impact on its day to day operations.
