SOL GROUP announces two new appointments:

• Mr. Marco Leccese as Executive Director Corporate Administration and Finance and Investor Relator.

• Mr. Lorenzo Messa as Manager responsible for sustainability reporting.

Today, the Board of Directors of SOL S.p.A, following the favourable opinion of the Board of Auditors and verification of the legal and statutory requirements, appointed:

1. Mr. Marco Leccese as the new Executive Director Corporate Administration and Finance, Manager responsible for preparing accounting and corporate documents pursuant to art. 154-bis of Legislative Decree 58/98 and Investor Relator of the SOL Group, effective June 1, 2025, replacing the retirement of Mr. Marco Filippi; as well as

2. Mr. Lorenzo Messa Manager in charge of sustainability reporting pursuant to art. 154-bis of Legislative Decree 58/98, as Executive Director Corporate Quality, Safety, Environment, Regulatory Affairs and Sustainability.

Mr. Marco Leccese is a manager with international experience gained in over twenty years of professional career mainly covering the role of Administration and Finance Director in various companies of the German industrial group Freudenberg, with experience in Italy and at foreign offices (Poland, Russia and Germany). Mr. Leccese has acquired solid experience in supporting top management in various phases and corporate operations, including acquisitions and partnerships, post-acquisition integration, international negotiations, strategic decisions.

Mr. Lorenzo Messa has been an operational manager for many years in the SOL Group and has gained significant experience in marketing, technical and medical and scientific engineering services in the field of medicinal gases, holding positions in scientific committees and study commissions, including international ones, and as head of Quality and Risk Assessment of the SOL Group. Currently, Mr. Messa is Executive Director Corporate Quality, Safety, Environment, Regulatory Affairs and Sustainability with responsibility for the development and reporting of sustainability, together with the drafting of the annual sustainability report according to the criteria of the CSRD Directive.

The Managing Directors, the Board of Directors and the Board of Auditors, together with all the staff, express their heartfelt thanks to Mr. Marco Filippi for having demonstrated, during his career in SOL lasting over 27 years, great commitment and self-denial, competence and high professionalism, expressing constant leadership and contributing decisively to the growth of his co-workers and the success of the Group.

Aldo Fumagalli Romario and Marco Annoni express their thanks to Mr. Marco Leccese for joining the SOL Group and extend to him and Mr. Messa their best wishes of success in leading their respective Departments.
