The undersigned represents and agrees that during the period beginning from the date hereof and ending 90 days from the closing date of the Offering (the ?Lock-Up Period?), he, she or it shall not (and shall cause its affiliates not to) directly or indirectly, offer, sell,contract to sell, transfer, assign, pledge, grant any option to purchase, make any short sale or otherwise dispose of or monetize any common shares of the Corporation, or any options or warrants to purchase any common shares of the Corporation
