BASF India Limited agreed to Spin-Off Agricultural Solutions business on December 19, 2024. Board of Directors of the BASF India has accorded its in-principle approval for demerger of Company?s Agricultural Solutions business into a separate listed legal entity. The Proposed Transaction is, inter alia, subject to receipt of requisite approvals from statutory and regulatory authorities, including the approval from BSE Limited (?BSE?), National Stock Exchange of India Limited (?NSE?) and the Securities and Exchange Board of India (SEBI), the respective shareholders and creditors of BASF India Ltd. The Company?s Agricultural Solutions business has generated sales of INR 20,064.6 million, for the financial year ended March 31, 2024.
As of May 28, 2025, BASF India has begun demerging its agricultural solutions business, a process it expects to take 18-24 months after which existing shareholders will be receive shares in the ratio of 1:1 in the new entity.
