Tejas Networks Limited Announces Resignation of P R Ramesh as Independent Director, Effective on April 18, 2026 and Appointment of Preetham Uthaiah as Chief Operating Officer, Effective April 15, 2026

Tejas Networks Limited announced based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors at their meeting held on April 15, 2026, approved the following: the resignation of Mr. P R Ramesh (DIN: 01915274), as an Independent Director of the Company, effective on April 18, 2026 due to other new responsibilities. P R Ramesh holds Independent Director positions in the following listed companies: Nestle India Limited, Cipla Limited, Crompton Greaves Consumer Electricals Limited, Larsen and Toubro Limited, ITC Hotels Limited, and Cyient Limited. With respect to committee memberships and chairmanships, at Nestle India Limited, he serves as Chairman of the Audit Committee and as a Member of both the Nomination and Remuneration Committee and the Risk Management Committee.

At Cipla Limited, he is Chairman of the Audit Committee and a Member of the Investment and Risk Management Committee. At Crompton Greaves Consumer Electricals Limited, he is a Member of the Audit Committee and the ESG Committee, and serves as Chairman of the Risk Management Committee. At Tejas Networks Limited, he is a Member of the Audit Committee and serves as Chairman of both the Nomination and Remuneration Committee and the Risk Management Committee.

At Air India Limited, he is Chairman of the Audit Committee and a Member of the Nomination and Remuneration Committee. At Air India Express Limited, he is a Member of the Corporate Social Responsibility Committee. At Larsen and Toubro Limited, he serves as Chairman of the Audit Committee.

At ITC Hotels Limited, he is Chairman of the Audit Committee and a Member of the Nomination and Remuneration Committee. At Cyient Limited, he is a Member of both the Audit Committee and the Risk Management Committee. At Ver Se Innovation Private Limited, he serves as Chairman of the Audit Committee.

The board also approved the appointment of Mr. Preetham Uthaiah as the Chief Operating Officer of the Company, with effect from April 15, 2026. Preetham Uthaiah is the Vice President of Product Management Wireless Products. He was previously responsible for Product management and program management for wireless products in Tejas networks.

He has three decades of global experience in Engineering, Product management and business development in USA and India. Prior to Tejas Networks, Preetham was EVP of Product management, marketing and Strategy at Saankhya Labs. Prior to that he had worked in various companies in India and USA including Vice President at Tech Mahindra in USA and India.

Preetham holds an MBA degree from the Arizona State University, USA & BE (Electronics and Communications) from Karnatak University.
