Robert Bosch GmbH proposed to acquire 25.75% stake in Johnson Controls-Hitachi Air Conditioning India Limited (BSE:523398) for INR 12.3 billion on July 26, 2024. A cash consideration valued at INR 1642.12 per share will be paid by Robert Bosch for 7,000,355 shares. The transaction is subject to approval by regulatory board / committee.

As on November 3, 2025, the deal price price per share has been revised to INR 1762.54 per share. The expected completion of transaction is on November 26, 2025. As on November 7, 2025, The recommendation was unanimously approved by the members of the IDC at the meeting held on November 7, 2025.

HSBC Securities and Capital Markets Private Limited acted as manager to Robert Bosch GmbH. MUFG Intime India Private Limited acted as registrar to Robert Bosch GmbH.
