ITOCHU : Announces Tender Offer for Shares of Sun Frontier Fudousan Co., Ltd., Subscription of Shares Issued in Capital Increase by Third-Party Allotment, and Capital and Business AllianceNew
ITOCHU Corporation (headquartered in Minato-ku, Tokyo; Keita Ishii, President & COO; hereinafter "ITOCHU") announced that it would, through its wholly owned subsidiary SI Corporation (head office: Minato-ku, Tokyo; Representative Director: Toshiya Takamura), commence, as of February 26, 2026, a tender offer with an upper limit for the common shares of Sun Frontier Fudousan Co., Ltd. (head office: Chiyoda-ku, Tokyo; President & CEO: Seiichi Saito; hereinafter "Sun Frontier"). In addition, ITOCHU has agreed to subscribe for shares (5,500,000 shares) issued in a capital increase carried out by Sun Frontier, and ITOCHU has entered into a capital and business alliance agreement with Sun Frontier.
The purpose of this transaction is to leverage the strengths of both ITOCHU and Sun Frontier in order to enhance the corporate value of both companies and to create new business synergies. ITOCHU will seek to collaborate with Sun Frontier, while respecting its independence as a listed company.
