Dai-ichi Life Holdings, Inc. (TSE:8750) agreed to acquire 28.47% stake in Wealth Management, Inc. (TSE:3772) on October 24, 2025. The share acquisition date, as stipulated in the share transfer agreement for this transaction, shall be the fourth business day following the business day on which all conditions precedent to the acquisition have been satisfied or waived (limited to the period from December 3, 2025 through December 22, 2025), or such other date as may be separately agreed upon by the seller and the purchaser. This date is subject to change depending on the status of fulfillment of the conditions precedent and other relevant factors. The acquisition will result in Dai-ichi Life Holdings, Inc. holding 28.47% of the total voting rights in Wealth Management, Inc.

The transaction is expected to close in early to late December 2025. BofA Securities Japan Co., Ltd. acted as financial advisor to Dai-ichi Life Holdings, Inc.
