Crane NXT, Co. (NYSE:CXT) proposed to acquire an additional 41.13% stake in Antares Vision S.p.A. (BIT:AV) from Regolo Spa and others for approximately ?150 million on December 16, 2025. A cash consideration valued at ?5 per share will be paid by Crane NXT, Co. The Offer is aimed at acquiring the entire share capital of Antares Vision S.p.A. and, in any case, achieving Delisting. Crane NXT, Co. along with persons acting in concert collectively owns 58.87% stake in Antares Vision S.p.A. Upon completion, Crane NXT, Co. along with persons acting in concert will own 100% stake in Antares Vision S.p.A.
The acceptance period will begin following CONSOB's approval of the Offer Document in accordance with applicable regulations and the publication of the Offer Document. On February 5, 2026, the transaction has been approved by the Commissione Nazionale per le Società e la Borsa (CONSOB). The tender offer will commence on February 16, 2026 and will close on March 6, 2026.As of March 23, 2026, based on provisional results, 10,838,309 Shares (14.96% of the Issuer's share capital) have been tendered to the Offer for a total consideration of ?54.19 million. Therefore, the Offeror, with Persons Acting in Concert, will hold an overall direct participation of 97.00% of the share capital (96.99% fully diluted) and an indirect participation, including Treasury Shares, of 97.05% of the share capital (97.03% fully diluted). Following the completion of the Second Tranche of the Regolo Sale and Purchase, the Offeror's overall participation will equal 97.05% of the voting rights (97.03% on a fully diluted basis).
