The company's directors and officers have entered into a lock-up agreement with the underwriter. Under the lock-up agreements, for a period of forty-five (45) days from the closing of this offering, without the prior written consent of the underwriter, the foregoing persons may not make any demand for, or exercise any right with respect to, the registration of any shares of common stock or any security convertible into or exercisable or exchangeable for common stock.
