Bank of China Limited approved the appointment of Mr. Liu Chenggang as Secretary to the Board of Directors and Company Secretary of the Bank on October 28, 2025. The Bank received the approval from the National Financial Regulatory Administration on the qualification of Mr. Liu Chenggang as Secretary to the Board of Directors of the Bank. Mr. Liu Chenggang has begun to concurrently serve as Secretary to the Board of Directors and Company Secretary of the Bank with effect from December 3, 2025.

Mr. Liu Chenggang was born in 1972. He has served as Executive Vice President of the Bank and concurrently as President of Shanghai RMB Trading Unit since October 2025. He has concurrently served as Secretary to the Board of Directors and Company Secretary of the Bank since December 2025.

Mr. Liu joined the Bank in 1994. From April 2024 to August 2025, he served as Vice President of BOC Hong Kong (Holdings) Limited. From March 2022 to August 2025, he served as Chief Financial Officer of BOC Hong Kong (Holdings) Limited.

From October 2018 to January 2022, he served as General Manager of the Equity Investment and Subsidiary Management Department of the Bank. From January 2017 to October 2018, he served as General Manager of the Financial Management Department of the Bank. From November 2015 to January 2017, he served as General Manager of the Treasury of the Bank.

Before that, he held a number of positions at the Bank, including Assistant General Manager and Chief Officer of the Financial Markets Department, Deputy General Manager (presiding over daily work) of the Treasury. He obtained a Bachelor?s Degree in Economics in 1994 from Renmin University of China, a Master?s Degree in Economics in 1999 from Research Institute of the People?s Bank of China, and a Master?s Degree in Applied Finance in 2003 from Macquarie University. He holds the qualification of Senior Accountant and is a CFA charterholder.

Since Mr. Liu Chenggang does not possess the qualifications or relevant experience required by Rule 3.28 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, the Bank has submitted an application to The Stock Exchange of Hong Kong Limited for, and the Hong Kong Stock Exchange has recently granted, a waiver from strict compliance with the requirements under Rule 3.28 and Rule 8.17 of the Listing Rules. Mr. Liu Chenggang will be assisted by Ms. Liu Lele as Joint Company Secretary, as per current arrangement in his discharge of duties as Company Secretary for a period of three years from the date of his appointment. Ms. Liu Lele?s appointment as Joint Company Secretary shall take effect from the date of the appointment of Mr. Liu Chenggang as Company Secretary.

Ms. Liu Lele is an employee of the Board Office of the Bank and a member of the Hong Kong Institute of Chartered Secretaries, and meets the requirements under Rule 3.28 of the Listing Rules. The waiver will be revoked immediately if and when Ms. Liu Lele, during this period, ceases to provide assistance to Mr. Liu Chenggang, and the waiver may be withdrawn if the Bank commits a material breach of the Listing Rules. The Bank will notify the Hong Kong Stock Exchange the relevant situation at the end of the three-year period and expects to demonstrate that Mr. Liu Chenggang would satisfy the requirements under Rules 3.28 of the Listing Rules and a further waiver would not be necessary.
